Grant of License. Subject to and conditioned upon Client’s compliance with the terms and conditions of this Agreement, including payment of any and all fees due Licensor for the provision of Services to Client under a signed contract or purchase order therefor between Licensor and Client resulting in such Works, Licensor hereby grants to Client, and Client’s Affiliates, a world-wide, irrevocable, perpetual, fully paid-up and non-transferable license (the “Grant of License”) to use, publish and display the Works, including the creation of copies, modifications and derivative works thereof, solely for Client’s individual business use and purposes during the Term of this Agreement.  Client shall not use and shall not permit the use of the Works licensed hereto, or any portions thereof, outside the scope of the Grant of License herein or in contravention of this Agreement.
